Protect and Play Sweepstakes Official Rules

  

SECTION 1: ELIGIBILITY – INDIVIDUAL SWEEPSTAKES


1.1 The Protect and Play Sweepstakes (“Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia, excluding residents of the States of New York, Florida, and Rhode Island, who are eighteen (18) years of age or older at the time of entry.


1.2 Employees, officers, directors, contractors, and representatives of Millennials United (the “Sponsor”), its subsidiaries, affiliates, advertising and promotional agencies, prize suppliers, and any other entities directly associated with the administration of the Sweepstakes, as well as their immediate family members (defined as spouses, parents, children, siblings, and members of the same household, whether related or not), are not eligible to enter or win.


1.3 Eligibility is subject to all applicable federal, state, and local laws and regulations. The Sweepstakes is void where prohibited, restricted, or otherwise regulated by law.


1.4 By entering, each individual entrant warrants that they meet all eligibility requirements, and acknowledges that Sponsor reserves the right, in its sole discretion, to disqualify any entrant who does not comply with these Official Rules or who tampers with the operation of the Sweepstakes.


SECTION 2: ELIGIBILITY – SCHOOL COMPETITION


2.1 In addition to the individual Sweepstakes, a parallel competition is available to eligible school programs, athletic teams, or recognized school organizations (collectively, “Schools”). Each participating School must be located within the fifty (50) United States or the District of Columbia, excluding Schools in New York, Florida, and Rhode Island.


2.2 An authorized representative of the School, such as a coach, faculty advisor, or administrator, must complete registration on behalf of the School and shall serve as the official point of contact throughout the competition.


2.3 As a condition of eligibility, each registered School must post the official Sweepstakes flyer to social media, tag #ProtectandPlay, and continue posting once per week during the Sweepstakes Period. Any School that fails to post in a given week shall be disqualified from the School Competition.


2.4 Students may participate in fundraising, promotions, and postings only under the supervision of their School and its authorized representative. Individual students are not direct entrants in the Sweepstakes and are not eligible to receive prizes in their personal capacity.


2.5 School Competition prizes shall be awarded to the School or its governing administrative entity and must be used for school-related purposes. The prize distribution for the School Competition is as follows:

  • First Place: $100,000
  • Second Place: Fifty percent (50%) of funds raised returned
  • Third Place: Thirty percent (30%) of funds raised returned

Disclaimer: The $100,000 top prize is contingent upon total Sweepstakes revenue reaching or exceeding $300,000. Prize amounts are based on a percentage of total funds raised during the Sweepstakes. All participating Schools must comply with these Official Rules to remain eligible. Void where prohibited.

 

2.6 – Registration Options (School Competition):
Each eligible School may select one of the following registration options:

 

(a) Free Registration: The School enters at no cost. Prizes are limited to those awarded under Section 6.2.

(b) Guaranteed Return Registration ($200): The School may elect to pay a one-time, non-refundable registration fee of two hundred dollars ($200) at the time of entry. Schools choosing this option will be guaranteed a return of twenty percent (30%) of their verified funds raised, regardless of final placement, provided they remain in compliance with these Official Rules.

For Schools registered under this option, the guaranteed return shall be compounded with any prize awarded under Section 6.2. 

2.7 Schools must remain in full compliance with these Official Rules throughout the Sweepstakes Period to remain eligible.


SECTION 3: SPONSOR


3.1 The Protect and Play Sweepstakes (“Sweepstakes”) is sponsored and administered by Millennials United, a nonprofit organization, located at 1080 W Peachtree St. NW, Atlanta, GA 30309 (the “Sponsor”).


3.2 The Sponsor is responsible for the overall administration of the Sweepstakes, including but not limited to verifying eligibility, processing entries, conducting drawings, selecting winners, awarding prizes, and ensuring compliance with these Official Rules. All decisions made by the Sponsor in connection with the Sweepstakes are final and binding in all respects.


3.3 The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with any social media platforms, including but not limited to Facebook, Instagram, Twitter, TikTok, or YouTube. By participating, entrants acknowledge that they are providing information to the Sponsor, not to any social media platform.


3.4 All questions, comments, or complaints regarding the Sweepstakes must be directed to the Sponsor at the address listed in Section 3.1 and not to any third-party platform or promotional partner.


SECTION 4: SWEEPSTAKES PERIOD


4.1 The Protect and Play Sweepstakes (“Sweepstakes”) begins at 8:00:00 a.m. Eastern Daylight Time (“EDT”) on September 22, 2025, and ends at 11:59:59 p.m. EDT on October 24, 2025 (the “Sweepstakes Period”).


4.2 All online entries made through the RallyUp platform and all mail-in entries must be received during the Sweepstakes Period to be eligible. Entries submitted before the official start time or after the official end time will be void.


4.3 The random drawing to determine the potential individual prize winners will be conducted on October 13, 2025, at approximately 10:00 a.m. EDT by the Sponsor or its designated representative. The drawing for School Competition prizes will occur after final fundraising totals and posting compliance have been verified. All decisions of the Sponsor regarding timing, eligibility, and prize awards are final and binding.


4.4 The RallyUp platform and the Sponsor’s computer system shall serve as the official timekeeping devices for this Sweepstakes. Proof of transmission, submission, or postmark does not constitute proof of receipt.


4.5 Sponsor reserves the right, in its sole discretion, to extend, shorten, suspend, or cancel the Sweepstakes Period at any time due to causes beyond its reasonable control, including but not limited to technical malfunctions, fraud, tampering, natural disasters, terrorism, labor disputes, or governmental action. In such event, entries properly received prior to the suspension or cancellation may be included in the drawing at Sponsor’s discretion.


SECTION 5: HOW TO ENTER


5.1 Donation Entry (Individual Sweepstakes):
During the Sweepstakes Period, eligible individuals may obtain entries by making a qualifying donation through the RallyUp fundraising platform. Donations will generate entries according to the following structure:

  • $5 = 10 entries
  • $10 = 25 entries
  • $20 = 40 entries
  • $50 = 75 entries
  • $100 = 100 entries

All donations must be made through RallyUp’s secure system. Entries will be electronically recorded and tracked by RallyUp on behalf of the Sponsor. Donations are nonrefundable. A donation is not required to enter or win.


5.2 Free Mail-In Entry (Alternative Method of Entry – AMOE):
To enter without donating, an entrant must hand-print their full name, complete mailing address, email address, telephone number, and the words “Protect and Play Sweepstakes Entry” on a plain 3" x 5" card and mail it in a first-class stamped envelope to:

Each eligible mail-in entry will receive one (5) entry into the Sweepstakes.  Limit of one mail-in entry per person/household for each Sweepstakes. All mail-in entries must be postmarked no later than October 24, 2025, and received by October 28, 2025, to be eligible for the drawing. Mechanically reproduced, photocopied, illegible, incomplete, or postage-due entries will not be accepted.


5.3 School Competition Entry:
To participate in the School Competition, an eligible School must register through RallyUp and complete the required setup. In addition, each registered School must:

(a) Post the official Sweepstakes flyer on at least one public social media account and tag #ProtectandPlay at the time of registration; and
(b) Post once per week during the Sweepstakes Period with the required hashtag to remain eligible. Failure to post in any given week will result in automatic disqualification of the School from the School Competition.

Fundraising totals for Schools will be calculated automatically through RallyUp at the close of the Sweepstakes Period.


5.4 General Entry Terms:

  • Entries received through both donation and mail-in methods will be combined into a single pool for purposes of the individual Sweepstakes drawing.
  • There is no limit to the number of entries an individual may obtain during the Sweepstakes Period, provided that entries are obtained in accordance with these Official Rules.
  • Sponsor is not responsible for late, lost, incomplete, misdirected, damaged, stolen, or postage-due mail entries.
  • All entries become the property of the Sponsor and will not be returned.
  • Automated entries, bulk submissions, or entries by third parties will be disqualified. Any attempt to tamper with or undermine the entry process may result in disqualification.


SECTION 6: PRIZES


6.1 Individual Sweepstakes Prizes (Vehicles):
Three (3) winners will be selected from the pool of eligible individual entries. Each winner will be entitled to select one (1) new or used vehicle from a dealership designated by the Sponsor, up to a maximum retail value of twenty-five thousand dollars ($25,000), inclusive of standard features.

(a) Prize Value Cap: Winners may not select a vehicle valued above $25,000. If the selected vehicle is priced below $25,000, no cash refund, trade-in credit, or substitution will be provided.

(b) Delivery & Possession: Vehicles must be taken from a dealership designated by the Sponsor within thirty (30) days of award notification unless otherwise specified by the Sponsor. Failure to take possession within this period will result in forfeiture of the prize in its entirety, and an alternate winner may be selected at the Sponsor’s sole discretion.

(c) Ownership Costs: Winners are solely responsible for all costs associated with vehicle ownership, including but not limited to registration, title, licensing, insurance, maintenance, optional equipment, and all federal, state, and local taxes.

(d) Substitution: No cash alternative or substitution is permitted, except at the Sponsor’s sole discretion if the vehicle prize becomes unavailable. In such cases, the Sponsor reserves the right to substitute a prize of equal or greater value.


6.2 School Competition Prizes:
At the conclusion of the Sweepstakes Period, fundraising totals and posting compliance will be verified through RallyUp and by the Sponsor. The top three (3) eligible Schools will be awarded prizes as follows:

  • First Place: $100,000 (subject to Section 6.3)
  • Second Place: Fifty percent (50%) of the School’s total funds raised will be returned to that School.
  • Third Place: Thirty percent (30%) of the School’s total funds raised will be returned to that School.

Prizes will be awarded directly to the School or its governing administrative entity and must be used for school-related purposes.


6.3 Prize Conditions & Disclaimers:

(a) Contingent Prize Disclaimer: The $100,000 First Place School Prize is contingent upon total Sweepstakes revenue (combined donations, entries, and funds raised) reaching or exceeding $300,000. If total Sweepstakes revenue is less than $300,000, the First Place prize may be reduced at the Sponsor’s sole discretion, with the final prize amount determined proportionally to available funds.

(b) Verification: Winners and Schools are subject to verification of eligibility, compliance with these Official Rules, and completion of any required affidavits, releases, and tax forms prior to prize award. Failure to comply will result in disqualification and forfeiture of the prize, and an alternate winner or School may be selected.

(c) Forfeiture: A prize may be forfeited if:

  • The winner or School fails to respond to the prize notification within the time specified by the Sponsor.
  • The winner cannot or will not take possession of the vehicle within the required timeframe.
  • The winner or School fails to return required documentation (including but not limited to affidavits, releases, or tax forms) by the deadline provided.
  • Fraud, misrepresentation, or rule violations are discovered.

Schools that selected the Guaranteed Return Registration option under Section 2.6 shall receive a guaranteed return of twenty percent (30%) of their verified funds raised, compounded with any prize above as outlined in Section 2.6(b). 

(d) Fraud and Misrepresentation: Fraud includes, but is not limited to: false identities, multiple entries by automated means, counterfeit or photocopied mail-in entries, falsified fundraising totals, or manipulation of required social media postings. Any entrant or School found engaging in fraudulent or deceptive behavior will be disqualified, all prizes forfeited, and may be subject to legal action by the Sponsor.

(e) Taxes & Reporting: All prizes are considered taxable income under U.S. law. An IRS Form 1099 will be issued to winners or Schools receiving prizes valued at $600 or more. Winners and Schools are solely responsible for payment of all applicable federal, state, and local taxes.

(f) Warranty Disclaimer: All prizes are awarded “as is,” with no warranties or guarantees expressed or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose, except as may be provided by the manufacturer.

(g) Liability Waiver: By accepting a prize, each winner or School agrees that the Sponsor, its affiliates, officers, directors, employees, and agents shall not be liable for any claims, damages, losses, injuries, or expenses arising out of participation in the Sweepstakes or acceptance, possession, use, or misuse of any prize.


SECTION 7: WINNER SELECTION AND NOTIFICATION


7.1 Individual Sweepstakes Drawing:
On or about October 31, 2025, at approximately 10:00 a.m. EDT, the RallyUp system will conduct a random drawing from among all eligible entries received during the Sweepstakes Period. The Sponsor will initiate the drawing through RallyUp’s automated randomization process. Odds of winning depend on the total number of eligible entries received.


7.2 School Competition Results:
Following the close of the Sweepstakes Period, fundraising totals and posting compliance will be verified by RallyUp and the Sponsor. The top three (3) eligible Schools will be determined based on verified funds raised and compliance with Section 5.3 (School Competition Entry).


7.3 Notification of Winners:
(a) Individual Sweepstakes Winners: The Sponsor will notify the potential vehicle prize winners by email and/or telephone using the contact information provided at the time of entry. Each potential winner must respond within five (5) business days of initial notification. If a potential winner does not respond within the required time period, fails to provide required documentation, is found to be ineligible, or fails to take possession of the prize as required, the prize will be forfeited and an alternate winner may be selected at the Sponsor’s discretion.

(b) School Competition Winners: School representatives designated at the time of registration will be notified by the Sponsor following verification of totals.

(c) Non-Winners: All individuals who entered the Sweepstakes but were not selected as winners will be notified by RallyUp via email on October 13, 2025 at approximately 10:05 a.m. EDT.


7.4 Documentation Requirements:
Before receiving any prize, winners (and authorized School representatives, where applicable) must complete and return any required Affidavit of Eligibility, Liability/Publicity Release, and applicable IRS Form W-9 or other tax forms, as directed by the Sponsor. Failure to return required documents by the deadline provided will result in forfeiture of the prize and selection of an alternate winner.


7.5 Finality of Decisions:
All drawings, verifications, and prize award determinations conducted by RallyUp and the Sponsor are final and binding in all respects.


SECTION 8: ODDS OF WINNING


8.1 Individual Sweepstakes (Vehicles):
The odds of winning a vehicle prize depend on the total number of eligible entries received through both donation entries and mail-in entries during the Sweepstakes Period. Each entry, regardless of method, has an equal chance of winning.


8.2 School Competition:
The odds of a School winning a prize in the School Competition depend on the number of participating Schools, the total funds raised by each School through RallyUp, and continued compliance with weekly posting requirements set forth in Section 5.3.


8.3 No Advantage for Donation Amount:
Making a donation does not increase the odds of winning the Sweepstakes beyond the number of entries received in accordance with Section 5. A free mail-in entry carries the same odds of winning as a paid entry.


SECTION 9: TAXES AND REPORTING OBLIGATIONS


9.1 General Responsibility:
All federal, state, and local taxes, fees, and surcharges associated with the receipt, ownership, acceptance, or use of any prize are the sole responsibility of the prize winners and/or the winning Schools. Sponsor will not provide any additional compensation, assistance, or reimbursement for such taxes.


9.2 IRS Reporting Requirements:
(a) Individuals: Each individual winner of a vehicle prize will be required to complete and return an IRS Form W-9 (Request for Taxpayer Identification Number and Certification) or equivalent documentation as a condition of prize award. An IRS Form 1099-MISC or 1099-NEC will be issued to each winner by the Sponsor for the 2025 tax year, reporting the fair market value (“FMV”) of the vehicle prize as determined by the Sponsor.

(b) Schools: School Competition prize winners may be required to complete and return an IRS Form W-9 or other documentation required by applicable law. Schools receiving cash or funds equal to or greater than $600 will be issued an IRS Form 1099-MISC by the Sponsor. Schools are responsible for ensuring compliance with all federal, state, and local tax laws, including but not limited to reporting prize funds as income and allocating such funds for permissible purposes under applicable nonprofit or educational regulations.


9.3 Valuation of Prizes:
(a) For vehicle prizes, the taxable value will be based on the actual Manufacturer’s Suggested Retail Price (MSRP) or dealer sales price of the vehicle selected by the winner, up to a maximum of $25,000, as determined by the Sponsor in its sole discretion.
(b) For School Competition prizes, the taxable value will be based on the actual dollar amount awarded by the Sponsor in accordance with Sections 6.2 and 6.3.


9.4 Failure to Provide Tax Documentation:
Failure to timely return required tax forms, affidavits, or releases will result in disqualification, forfeiture of the prize, and selection of an alternate winner. The Sponsor may withhold prizes or portions thereof to comply with tax withholding obligations, if required by law.


9.5 Winner’s Responsibility:
(a) Winners are solely responsible for consulting with their tax advisors regarding the tax consequences of winning a prize, including potential federal, state, and local tax obligations.
(b) Sponsor does not provide tax advice and expressly disclaims any responsibility for a winner’s or School’s failure to report or pay applicable taxes properly.
(c) All winners and Schools acknowledge that receipt of a prize may affect their income tax liability, eligibility for financial aid, or other government benefits.


9.6 Release of Liability Regarding Taxes:
By accepting a prize, each individual winner and each winning School agrees that the Sponsor, its affiliates, and their respective officers, directors, employees, and agents shall not be held liable for any taxes, penalties, fines, interest, or expenses resulting from the reporting or failure to report prizes in accordance with applicable law.


SECTION 10: GENERAL CONDITIONS


10.1 Compliance with Rules:
Participation in the Sweepstakes constitutes the entrant’s and/or School’s full and unconditional agreement to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes.


10.2 Right to Disqualify:
Sponsor reserves the right, in its sole discretion, to disqualify any individual or School that:

  • Fails to comply with these Official Rules.
  • Provides false, misleading, or incomplete information during entry or verification.
  • Tampers with or manipulates the entry process, RallyUp platform, mail-in entries, fundraising totals, or social media posting requirements.
  • Engages in fraud, cheating, or any other deceptive or illegal conduct intended to undermine the fairness or integrity of the Sweepstakes.


10.3 Fraud Prevention:
Fraud includes, but is not limited to:
(a) The use of multiple identities, email addresses, or accounts.
(b) Automated entry systems, bots, macros, or other technical means to generate entries.
(c) Submission of counterfeit, duplicated, or photocopied mail-in entries.
(d) Artificial inflation of fundraising totals, including but not limited to fake donations, chargebacks, or coordinated false contributions.
(e) Misrepresentation of a School’s posting compliance or unauthorized use of the #ProtectandPlay hashtag.
Any confirmed instance of fraud will result in immediate disqualification and forfeiture of any prize. Sponsor reserves the right to seek damages and pursue civil and/or criminal prosecution to the fullest extent permitted by law.


10.4 Right to Modify, Suspend, or Cancel:
Sponsor reserves the right to modify, suspend, or cancel the Sweepstakes at any time if it determines, in its sole discretion, that the Sweepstakes is not capable of being conducted as intended, including due to:

  • Technical malfunctions or failures (including system errors, glitches, or interruptions on the RallyUp platform).
  • Unauthorized tampering, fraud, or other causes that impair the security, fairness, or proper functioning of the Sweepstakes.
  • Natural disasters, pandemics, government orders, acts of war, terrorism, labor disputes, or any event beyond the reasonable control of the Sponsor.
        In such an event, Sponsor may, in its discretion, award prizes from among all eligible, non-suspect entries received before the suspension or cancellation.


10.5 Limitations of Liability:
Sponsor and its affiliates are not responsible for:
(a) Late, lost, stolen, incomplete, illegible, misdirected, damaged, or postage-due mail entries.
(b) Errors or malfunctions of any kind related to computers, servers, software, networks, or providers.
(c) Interrupted, delayed, or corrupted transmissions.
(d) Technical issues on social media platforms.
(e) Human, typographical, or printing errors in Sweepstakes materials or administration.


10.6 Binding Nature:
By entering, all participants agree to waive any right to claim ambiguity in these Official Rules. The Sponsor’s interpretation of these Official Rules shall be binding and conclusive in all matters.


10.7 Force Majeure:
Sponsor shall not be liable for any failure or delay in performance arising from any condition beyond its reasonable control, including but not limited to acts of God, government restrictions, wars, natural disasters, pandemics, labor strikes, or equipment malfunctions.


10.8 Severability:
If any provision of these Official Rules is deemed invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.


10.9 Sponsor’s Rights Reserved:
Sponsor reserves the right, in its sole discretion, to:

  • Conduct background checks on potential winners and School representatives to ensure compliance with these Rules.
  • Substitute prizes of equal or greater value if advertised prizes become unavailable.
  • Withhold prizes until all documentation and tax forms are correctly completed.
  • Announce winners publicly or privately at its discretion, subject to applicable law.


SECTION 11: RELEASE OF LIABILITY


11.1 General Release:
By participating in the Sweepstakes, entrants, Schools, and prize winners agree to release, indemnify, and hold harmless Millennials United (the “Sponsor”), RallyUp, and their respective parent companies, affiliates, subsidiaries, advertising and promotional agencies, prize suppliers, dealers, distributors, and each of their respective officers, directors, employees, representatives, and agents (collectively, the “Released Parties”) from and against any and all claims, demands, actions, liabilities, damages, losses, costs, or expenses of any kind (including attorneys’ fees) arising out of or related to participation in the Sweepstakes, the School Competition, or acceptance, possession, use, or misuse of any prize.


11.2 Limitations of Liability:
Released Parties shall not be responsible for:
(a) Technical errors, failures, or malfunctions of any kind, including but not limited to hardware, software, or network failures, system interruptions, or lost connections.
(b) Unauthorized human intervention in any part of the entry process or the Sweepstakes.
(c) Printing, typographical, or other errors in any Sweepstakes materials.
(d) Damage to any computer, mobile device, or other property resulting from participation in the Sweepstakes.
(e) Delays, cancellations, or disruptions caused by force majeure events, including but not limited to natural disasters, acts of terrorism, pandemics, civil unrest, labor strikes, or government restrictions.


11.3 Assumption of Risk:
By entering, participants expressly assume all risks associated with participation in the Sweepstakes and the receipt, ownership, and use of prizes. Winners acknowledge that use of a motor vehicle involves inherent risks, including personal injury and property damage, and agree that they are solely responsible for maintaining appropriate insurance and operating the vehicle in compliance with applicable laws.


11.4 Further Release:
As a condition of receiving any prize, winners and School representatives may be required to execute an additional written release of liability in a form provided by the Sponsor. Failure to sign and return such documentation by the deadline specified will result in forfeiture of the prize.


11.5 No Liability for Taxes or Consequences:
Released Parties are not responsible for any tax obligations, penalties, or impacts on government benefits, financial aid, or other entitlements resulting from the awarding or acceptance of prizes.


SECTION 12: PUBLICITY RIGHTS


12.1 Consent to Publicity:
Except where prohibited by law, participation in the Sweepstakes constitutes each entrant’s, School’s, and prize winner’s consent to the Sponsor’s and its designees’ use of their name, School name, likeness, image, voice, statements, biographical information, city and state of residence, social media posts, and any photographs or video submitted or taken during participation, for advertising, promotional, and publicity purposes in any media now known or hereafter developed, worldwide and in perpetuity, without further notice, approval, review, or additional compensation.


12.2 School-Specific Rights:
By registering, each participating School grants the Sponsor the right to:
(a) Publicize its fundraising performance, placement, and prize award.
(b) Use the School’s name, logo, and official images (where permitted by district or governing body policies) in connection with promoting the Sweepstakes and future fundraising initiatives.
(c) Share or repost social media content created by the School or its representatives that uses the required #ProtectandPlay tag.


12.3 Limitations:
Sponsor will not materially alter or misrepresent an entrant’s or School’s identity when using publicity materials. Any use of likeness or images will be limited to lawful promotional purposes directly related to the Sweepstakes or future campaigns of similar nature conducted by the Sponsor.


12.4 Right to Photograph/Record:
By accepting a prize, winners agree that the Sponsor may photograph, videotape, or otherwise record the prize award process and related events, and may use such recordings for promotional purposes without limitation or compensation, unless prohibited by law.


12.5 No Obligation:
Nothing herein obligates the Sponsor to use any entrant’s, winner’s, or School’s likeness, name, or content, and any decision to do so shall be at the Sponsor’s sole discretion.


12.6 Social Media Disclaimer:
The Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with, Facebook, Instagram, Twitter, TikTok, YouTube, or any other social media platform. By participating, entrants and Schools acknowledge and agree that they are providing information solely to the Sponsor and not to any social media platform. Entrants and Schools further release all such platforms from any liability related to or arising out of participation in the Sweepstakes.


SECTION 13: GOVERNING LAW / DISPUTE RESOLUTION


13.1 Governing Law:
All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants, Schools, winners, and the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Georgia, without regard to its conflict of law principles.


13.2 Exclusive Venue:
Except as otherwise provided in Section 13.3, any legal suit, action, or proceeding arising out of or related to this Sweepstakes shall be instituted exclusively in the state or federal courts located in Fulton County, Georgia. Each entrant, School, and winner irrevocably submits to the personal jurisdiction of such courts and waives any objection to venue or inconvenient forum.


13.3 Binding Arbitration; Waiver of Class Actions and Jury Trial:
(a) Arbitration Agreement: To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to this Sweepstakes, including the interpretation or enforcement of these Official Rules, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted before a single arbitrator in Fulton County, Georgia. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

(b) Exceptions to Arbitration: If binding arbitration is not legally enforceable for a particular claim, or if the Sponsor elects in its sole discretion, such dispute shall instead be resolved exclusively in the state or federal courts located in Fulton County, Georgia, subject to Sections 13.3(c) and 13.3(d).

(c) Waiver of Class Actions: Participants agree that any dispute, claim, or controversy shall be brought on an individual basis only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Neither the arbitrator nor any court shall have the authority to consolidate or join the claims of multiple persons or preside over any class, representative, or collective proceeding.

(d) Waiver of Jury Trial: To the fullest extent permitted by law, entrants, Schools, and winners expressly waive the right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Sweepstakes.


13.4 Limitation on Claims:
Any claim, action, or proceeding by an entrant, School, or winner against the Sponsor arising out of or relating to this Sweepstakes must be filed within one (1) year after the cause of action accrues. Claims filed after such one-year period shall be deemed permanently waived and barred, regardless of any statute or law to the contrary.


13.5 Attorneys’ Fees and Costs:
In any arbitration, action, or proceeding to enforce these Official Rules or arising out of participation in the Sweepstakes, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, court costs, arbitration fees, and related expenses, in addition to any other relief available.
